Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and Emirates Ltda, a company incorporated under the laws of Brazil ("VaultX," "we," "us," or "our"), governing your access to and use of the VaultX cryptocurrency wallet application available at myvaultx.app and any related services (collectively, the "Service").

By accessing or using VaultX, you represent that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Service.

2. Description of Service

VaultX is a non-custodial, multi-chain cryptocurrency wallet that allows users to:

• Generate and manage cryptographic key pairs for multiple blockchain networks
• Store, send, and receive supported digital assets
• Swap cryptocurrencies through integrated decentralized exchange aggregators
• Purchase cryptocurrency through integrated third-party fiat on-ramp providers
• Stake supported Proof-of-Stake assets through integrated validator partners
• Access decentralized applications and Web3 services through the Discover feature

Supported blockchain networks include, but are not limited to: Ethereum, Solana, Bitcoin, TRON, Cosmos, Avalanche, Polygon, Litecoin, and Dogecoin. The list of supported networks may change at any time.

3. Eligibility

To use VaultX, you must:

• Be at least 18 years of age
• Not be a resident of or located in a jurisdiction where the use of cryptocurrency services is prohibited by applicable law
• Not be subject to sanctions imposed by the United Nations, United States Office of Foreign Assets Control (OFAC), European Union, or any other applicable authority
• Have the legal capacity to enter into binding agreements in your jurisdiction

By using VaultX, you represent and warrant that you meet all eligibility requirements. VaultX reserves the right to restrict access to the Service in any jurisdiction at any time.

4. Non-Custodial Nature of VaultX

This means:

• Your seed phrase (recovery phrase) is generated locally on your device and is never transmitted to or stored by VaultX
• VaultX has no ability to recover lost seed phrases or private keys
• VaultX has no ability to reverse, cancel, or modify any blockchain transaction
• VaultX has no ability to freeze or access your funds
• If you lose your seed phrase, your funds are permanently and irrecoverably lost

You acknowledge and accept full responsibility for all risks associated with managing your own cryptographic keys.

5. User Responsibilities

You agree to:

• Securely store your seed phrase offline in multiple physical locations
• Never share your seed phrase or private keys with anyone, including VaultX support
• Verify all transaction details (address, amount, network) before confirming any transaction
• Understand that blockchain transactions are irreversible once confirmed
• Keep your device and browser software up to date for security purposes
• Use VaultX only for lawful purposes and in compliance with all applicable laws
• Not rely on VaultX as your sole record of transaction history

6. Prohibited Activities

You agree not to use VaultX to:

• Violate any applicable law or regulation, including anti-money laundering (AML) and counter-terrorism financing (CTF) laws
• Conduct, facilitate, or disguise transactions that constitute money laundering, tax evasion, or terrorist financing
• Engage in market manipulation or fraudulent trading activities
• Circumvent any sanctions or export control restrictions
• Transmit malware, viruses, or any harmful code
• Attempt to reverse engineer, decompile, or extract the source code of VaultX
• Exploit vulnerabilities in the Service for any unauthorized purpose
• Use the Service on behalf of a sanctioned individual, entity, or jurisdiction

Violation of this section may result in immediate termination of your access to the Service and may be reported to relevant authorities.

7. Third-Party Services

VaultX integrates with third-party services including fiat on-ramp providers (Transak, MoonPay, Ramp Network), swap aggregators (SwapKit, 0x, Jupiter), staking providers (Everstake), and price data providers (CoinGecko).

When you use these services:

• You are subject to the terms and privacy policies of those third parties
• VaultX is not responsible for the performance, availability, or conduct of third-party services
• Third-party KYC/AML requirements may apply when purchasing cryptocurrency through on-ramp providers
• VaultX does not guarantee the accuracy of price data, swap quotes, or staking yields provided by third parties
• Swap rates and staking rewards are subject to market conditions and may change without notice

8. Fees and Transactions

VaultX may charge fees for certain services:

• Network fees (gas): Blockchain transaction fees are determined by the respective network and are not controlled by VaultX
• Transfer fees: VaultX may charge a service fee on on-chain transfers, disclosed at the time of transaction
• Swap fees: Swap aggregation may include protocol fees and a VaultX service fee, which are already incorporated into the final quoted amount you receive before you confirm the swap
• On-ramp fees: Fiat purchase fees are set by third-party on-ramp providers and subject to their fee schedules

All fees are non-refundable once a transaction has been broadcast to the blockchain. Always review all fees displayed before confirming a transaction.

9. Risk Disclosures

By using VaultX, you acknowledge and accept the following risks:

• Price volatility: Cryptocurrency prices are highly volatile and can lose significant value rapidly
• Regulatory risk: Cryptocurrency regulations vary by jurisdiction and may change, potentially restricting your ability to use the Service
• Technology risk: Blockchain networks, smart contracts, and wallet software may contain bugs, vulnerabilities, or fail unexpectedly
• Irreversibility: All confirmed blockchain transactions are permanent and cannot be reversed
• Lost access: Loss of your seed phrase means permanent loss of access to your funds
• Network risk: Blockchain networks may experience congestion, forks, or outages that affect transactions
• Smart contract risk: DeFi protocols and smart contracts integrated through VaultX may be exploited or fail
• Staking risk: Staked assets may be subject to slashing, lock-up periods, or validator failure

VaultX does not provide investment, financial, legal, or tax advice. Nothing in the Service constitutes a recommendation to buy, sell, or hold any cryptocurrency.

10. Intellectual Property

The VaultX name, logo, application design, user interface, and all related content are the property of Emirates Ltda and are protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service for personal, non-commercial purposes.

You may not reproduce, distribute, modify, create derivative works of, or commercially exploit any part of the Service without our prior written consent.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

VaultX does not warrant that: (a) the Service will be uninterrupted or error-free; (b) defects will be corrected; (c) the Service or servers are free of viruses or harmful components; or (d) results obtained from use of the Service will be accurate or reliable.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VAULTX AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, CRYPTOCURRENCY ASSETS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

IN NO EVENT SHALL VAULTX'S TOTAL LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE AMOUNT OF FEES YOU PAID TO VAULTX IN THE TWELVE MONTHS PRECEDING THE CLAIM; OR (B) USD $100.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify, defend, and hold harmless Emirates Ltda, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your infringement of any third-party rights.

14. Termination

As VaultX is a non-custodial wallet, you may stop using the Service at any time. Because we do not hold your funds or private keys, termination of your use of the Service does not affect your access to your cryptocurrency assets, which remain accessible through your seed phrase on any compatible wallet.

VaultX reserves the right to suspend or terminate access to the Service, or to remove features, at any time and without prior notice, including in cases of violation of these Terms or applicable law.

15. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of the Federative Republic of Brazil, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If resolution is not reached within 30 days, disputes shall be submitted to the exclusive jurisdiction of the courts of Goiânia, State of Goiás, Brazil.

If you are a consumer in the European Union, you may also have the right to use the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of VaultX after changes are posted constitutes your acceptance of the revised Terms.

We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Service.
